10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina. You waive any objection to venue or inconvenience of forum.

11. Arbitration &  Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR LEGAL RIGHTS.

You and Scout Advisors agree that any dispute, claim, or controversy arising out of or relating in any way to your access to or use of the Website, these Terms, or the relationship between you and us (including any affiliates) (a “Claim”) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or another mutually agreed-upon arbitration provider and rules), except where prohibited by applicable law.

Arbitration will be conducted on an individual basis only. YOU AND WE EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person or preside over any form of class or representative proceeding.

This arbitration provision does not apply to claims that cannot lawfully be subject to arbitration under federal law (including, without limitation, any claims related to residential mortgage loans under the Truth in Lending Act or Dodd-Frank Act). You may opt out of this arbitration provision by sending written notice to us at the address in Section 12 within 30 days of first accepting these Terms (or within 30 days of any material change to this provision).

The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party bears its own costs and attorneys’ fees unless the arbitrator awards otherwise under applicable law.

12. Miscellaneous

  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Website.
  • If any provision is held invalid, the remainder remains in effect.
  • Our failure to enforce any right does not waive that right.
  • We may assign these Terms; you may not assign them without our consent.
